Governing law. This Agreement shall be governed by and construed in accordance with the laws of the State of Israel. International users expressly acknowledge that their use of the Service is at their own risk and subject to the laws and limitations of their respective jurisdictions.
By accessing or using the Geordy service (the "Service"), you (the "User") agree to be bound by these Terms of Service (this "Agreement"). If you do not agree with these terms, you are not permitted to use the Service.
Introduction
This Agreement sets forth the terms and conditions under which Sorezki Ltd. ("Company") provides its Geordy content optimization and analysis platform. The Service is provided on an "as-is" basis and is offered for your internal use. By utilizing the Service, you confirm that you have read, understood, and agree to be legally bound by these terms.
Scope of Services
Geordy is a platform designed to analyze website content and generate optimized output in various formats, with the goal of enhancing your website's visibility on generative AI platforms. The Service is provided without guarantees regarding uninterrupted functionality, error-free operation, or specific performance improvements. You acknowledge that any reliance on its output is solely at your own risk. The Company expressly disclaims any warranties of merchantability, fitness for a particular purpose, or non-infringement.
User Responsibilities
You are solely responsible for ensuring that your use of the Service complies with all applicable laws, regulations, and third-party rights. You warrant that you possess the necessary rights to submit any content or data provided to the Service and that such submissions do not infringe on any intellectual property or other rights of third parties. You further agree not to submit content containing sensitive personal information or data for which you do not have the requisite legal consent to process. The Company shall bear no liability for any legal or regulatory actions arising from your submissions or use of the Service.
Billing and Payments
4.1 Subscription Plans: The Service offers various subscription plans, including Free, Pro, Business, and Enterprise, each with different usage limits as described on our pricing page. All plans include access to every feature. By subscribing to a paid plan, you agree to pay the applicable fees as indicated during the signup process.
4.2 Billing Cycle: Paid plans are billed on a monthly or annual basis, depending on the option selected during signup. Billing cycles are automatically renewed at the end of each period unless cancelled in accordance with these Terms.
4.3 Payment Methods: All payments are processed securely through our third-party billing provider. By submitting your payment information, you authorize us to charge the applicable fees and agree to be bound by the terms and privacy policies of our payment processor.
4.4 Late Payments: If a payment is not successfully settled due to expiration, insufficient funds, or otherwise, and you do not change your payment method or cancel your account, we may suspend your access to the Service until we have obtained a valid payment method.
Refund Policy
5.1 Refund Eligibility: Users may request a refund within 14 days of the initial payment for a subscription. Refunds are only available for the first payment of a subscription and do not apply to subsequent billing cycles.
5.2 Refund Process: To request a refund, please contact our support team at [email protected] with your account details and reason for the request. If approved, refunds will be issued via the original payment method and may take up to 10 business days to appear on your statement.
5.3 Partial Refunds: If you have used the Service during the refund period, we may prorate the refund amount based on the portion of the billing cycle used.
5.4 Abuse: We reserve the right to refuse refunds if we suspect abuse, fraudulent activity, or violation of these Terms.
Termination and Cancellation
6.1 Subscription Cancellation: You may cancel your paid subscription at any time through your account settings or by contacting our support team. Cancellations will take effect at the end of the current billing period, and you will maintain access to the Service until that date.
6.2 Termination by the Company: We reserve the right to suspend or terminate your access to the Service at any time and without notice if we reasonably believe you have violated these Terms, used the Service fraudulently, or engaged in any illegal or abusive activities.
6.3 Effect of Termination: Upon termination of your account, your right to use the Service will immediately cease, and you will no longer have access to your account data. Any fees paid are non-refundable except as expressly set forth in these Terms.
Support and Service Levels
7.1 Support: The Company provides email support for all users during normal business hours (Monday to Friday, 9 AM to 5 PM IST). Pro, Business, and Enterprise plans may have access to additional support channels and response times as described on our pricing page.
7.2 Service Availability: While we strive to provide uninterrupted access to the Service, we do not guarantee 100% uptime and shall not be liable for any disruptions, outages, or other performance issues. Scheduled maintenance will be communicated in advance when possible.
Content Processing, Third-Party Services, and Privacy
To deliver and enhance the Service, the Company engages reputable third-party service providers, including Cloudflare, Posthog, and OpenAI. By using the Service, you expressly consent to the transfer and processing of your data by these third parties in accordance with their respective privacy policies and Data Processing Agreements.
Acceptable Use
You agree to use the Service solely for lawful purposes and in strict compliance with this Agreement. Any use of the Service in violation of applicable law or in any manner that could damage, disable, overburden, or impair the Service is strictly prohibited. The Company reserves the right to monitor your use of the Service and to suspend or terminate your access immediately if you breach any provision of this Agreement.
Updates to the Terms
The Company reserves the right to modify, amend, or update these Terms of Service at any time in its sole discretion. Any modifications shall be effective immediately upon posting on the Service. It is your responsibility to review these Terms periodically. Your continued use of the Service after any such changes constitutes your acceptance of the modified Terms.
